2. Scope

These Terms apply to all quotations, sales, manufacturing, deliveries, rentals, and services that the Company provides, unless the parties agree otherwise in writing.

3. Quotations & Orders

  • All quotations remain valid for 5 business days unless the Company states otherwise.
  • Orders become binding only after the Company confirms them in writing.
  • The Company may refuse or cancel any order without obligation if force majeure, supply issues, or unforeseen circumstances arise.

4. Prices

  • All prices appear in the currency stated in the quotation and exclude VAT, customs duties, shipping, insurance, and other charges unless the Company states otherwise.
  • The Company may revise prices before order confirmation if raw material, labor, or exchange rates change significantly.

5. Payment Terms

  • The proforma invoice or quotation states the payment terms.
  • Production and shipment schedules may depend on the Company’s receipt of the advance payment.
  • If the buyer pays late, the Company may suspend production, delivery, or warranty services.

6. Delivery & Risk Transfer

  • The quotation or proforma invoice states the delivery terms (EXW, FOB, CFR, CIF, DDP, etc.).
  • Risk transfers to the buyer in accordance with the agreed Incoterms.
  • The Company provides delivery times as estimates only and does not guarantee them. Delays do not give the buyer the right to cancel the order or claim compensation unless the parties agree otherwise in writing.

7. Inspection & Acceptance

  • The buyer must inspect the goods immediately upon delivery.
  • The buyer must report any visible damage, missing items, or non-conformity in writing within 3 days of delivery.
  • If the buyer fails to notify the Company within this period, the buyer accepts the goods as delivered.

8. Warranty

  • The Company warrants that the products are free from manufacturing defects for 12 months from the delivery date, unless the Company states otherwise.
  • The warranty covers manufacturing defects only and does not cover:
    • Normal wear and tear
    • Damage resulting from misuse, improper installation, lack of maintenance, or unauthorized modification
    • Damage resulting from accidents, improper storage, or external factors
  • The Company may, at its discretion, repair or replace the defective part, and this remedy represents the Company’s sole liability.

9. Limitation of Liability

  • The Company does not accept liability for indirect, incidental, or consequential damages, including loss of profit, loss of project, or downtime.
  • In all cases, the Company’s total liability shall not exceed the invoice value of the relevant product.

10. Intellectual Property

  • The Company retains ownership of all drawings, designs, photos, videos, catalogs, and technical documents.
  • No party may copy, share, or use these materials without the Company’s prior written consent.

11. Force Majeure

The Company does not accept liability for any failure or delay in performance that results from events beyond its reasonable control, including but not limited to natural disasters, war, strikes, pandemics, or government restrictions.

12. Governing Law & Jurisdiction

  • The laws of the Republic of Türkiye govern and interpret these Terms.
  • The courts of Ankara, Türkiye have exclusive jurisdiction.

13. Amendments

The Company may update or modify these Terms at any time without prior notice.
